SchemaChat terms for trial and paid workspaces

These Terms of Service govern your access to and use of SchemaChat, a hosted analytics platform that helps businesses connect data sources, ask questions in plain English, generate charts, and share insights across their teams. By creating an account or using the service, you agree to these terms in full.

1. Acceptance of terms

By registering for, accessing, or using SchemaChat (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these terms.

If you do not agree to these terms, you must not access or use the Service. We reserve the right to update these terms at any time. Continued use after changes are posted constitutes acceptance of the revised terms.

2. Description of service

SchemaChat provides subscription-based access to workspace features including connecting approved data sources, generating read-only analytics queries using AI, reviewing and saving AI outputs, exporting reports and charts, and collaborating within team workspaces on supported plans.

The Service is provided on an "as-is" and "as-available" basis. We make no guarantee that the Service will be uninterrupted, error-free, or that AI-generated outputs will be completely accurate. You are responsible for reviewing all AI-generated content before acting on it.

We may update, modify, or discontinue features of the Service at any time with reasonable notice where practicable. Material changes to paid plan features will be communicated in advance.

3. Accounts and security

You must provide accurate, complete, and current account information during registration and keep it up to date. Each account is personal and may not be shared with or transferred to other individuals unless explicitly permitted by your plan (e.g. team seats on Premium).

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at security@schemachat.co if you suspect unauthorised access to your account.

We may suspend or terminate accounts where credentials are compromised, where activity poses a security risk, or where an account is used in a manner that violates these terms. Accounts inactive for more than 24 months may be subject to data deletion following advance notice.

4. Acceptable use

You may use the Service only for lawful purposes and in accordance with these terms. You agree not to: (a) violate any applicable local, national, or international law or regulation; (b) attempt to gain unauthorised access to any part of the Service, its infrastructure, or another user's data; (c) upload, transmit, or process unlawful, harmful, defamatory, obscene, or otherwise objectionable content; (d) reverse-engineer, decompile, or extract source code from the Service; (e) resell, sublicense, or commercially exploit the Service without prior written consent; or (f) use automated scripts or bots to access the Service in ways that place undue load on infrastructure.

AI-generated answers, SQL queries, and chart outputs are provided for informational and analytical purposes only. You should review all outputs before using them in production systems, financial decisions, legal proceedings, compliance workflows, or any other high-stakes context.

We reserve the right to investigate suspected violations and may suspend or terminate access, report activity to law enforcement, or take other appropriate action without prior notice where circumstances require it.

5. Data and privacy

You are responsible for ensuring you have the legal right to connect, transmit, process, and analyse the data you use with SchemaChat. This includes compliance with any applicable data protection laws relevant to your business and jurisdiction.

SchemaChat's AI features execute read-only SELECT queries against connected data sources. The Service does not write, modify, or delete data in your connected databases. You are solely responsible for the accuracy and integrity of your underlying data.

Our Privacy Policy explains in detail how we collect, use, store, and protect information. By using the Service, you agree to our data practices as described in that policy.

6. Billing and subscriptions

Paid subscriptions are billed in advance on the billing cycle (monthly or annual) selected at checkout. Prices are displayed inclusive of any applicable taxes where required by law. All charges are processed through our payment provider, Paddle, who acts as the merchant of record.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You are responsible for cancelling your subscription before renewal if you do not wish to be charged for the next period. Cancellation instructions are available in your account settings.

Upgrades to a higher plan take effect immediately and any unused portion of your current billing period may be applied as a credit towards the new plan at our discretion. Downgrades and cancellations generally take effect at the end of the current paid billing period.

Feature access, connector availability, AI question quotas, table limits, and team seat permissions are governed by the active plan at the time of use. Exceeding plan limits will result in restricted access until the next billing period or a plan upgrade.

7. Intellectual property

SchemaChat and its original content, features, user interface, underlying software, trademarks, logos, and documentation are and will remain the exclusive intellectual property of SchemaChat Ltd and its licensors. Nothing in these terms transfers ownership of any SchemaChat intellectual property to you.

You retain full ownership of the data you upload or connect to the Service, including schemas, datasets, custom queries, and exported outputs. By using the Service, you grant SchemaChat a limited, non-exclusive licence to process and transmit your data solely as necessary to deliver the features you use.

AI-generated outputs (SQL queries, chart configurations, text summaries) produced specifically in response to your prompts are provided for your use. We make no representations about the originality or IP status of AI outputs and disclaim any warranty in that regard.

8. Third-party services

The Service integrates with third-party data connectors (e.g. PostgreSQL, MySQL, BigQuery, Snowflake, MongoDB), AI model providers, payment processors, and infrastructure services. These providers operate under their own terms and privacy policies.

We are not responsible for the availability, accuracy, or conduct of third-party services. Your use of third-party integrations may be subject to additional terms from those providers.

9. Disclaimer of warranties

To the fullest extent permitted by applicable law, SchemaChat is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

We do not warrant that AI-generated SQL, chart data, or text answers are accurate, complete, current, or error-free. You use AI outputs at your own risk and are solely responsible for verifying results before relying on them for business, legal, financial, or compliance decisions.

10. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall SchemaChat, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising from your use of or inability to use the Service, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under or in connection with these terms or your use of the Service shall not exceed the total fees paid by you in the twelve months preceding the event giving rise to the claim, or £100 (GBP), whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless SchemaChat and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these terms; (c) your violation of any third-party rights; or (d) the data, content, or materials you connect or upload to the Service.

12. Termination

You may stop using the Service and cancel your subscription at any time through your account settings. We may terminate or suspend your access at any time for breach of these terms, non-payment, or for operational or legal reasons, with or without notice depending on the severity of the circumstances.

Upon termination, your right to access the Service ceases immediately. We may retain your data for a limited period after termination in accordance with our Privacy Policy and applicable law before permanent deletion.

13. Governing law and disputes

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your country of residence require otherwise.

We encourage you to contact us at legal@schemachat.co before initiating any formal legal proceedings. We will make reasonable efforts to resolve disputes amicably.

14. Changes to these terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated by email to the address associated with your account or by a prominent notice within the Service at least 14 days before the changes take effect.

If you continue to use the Service after the effective date of the revised terms, you are deemed to have accepted the changes. If you do not agree to the updated terms, you must stop using the Service before the effective date.
